1. Who you are dealing with
Runsheet Co. is operated by Sugarsplashes, of Aussailles Road 1, Fond du Sac, Mauritius ("we", "us", "our"). You can reach us at support@runsheetco.com.
These terms apply when you create an account or use the service. If you are agreeing on behalf of a business, you confirm you are allowed to bind that business.
2. What the service does
Runsheet Co. is order management software for businesses that take orders for a future date. It records orders, the date each is promised for, how much of a day's production capacity each consumes, payments taken against them, and the customer they belong to. It can send an email to your customer when you mark an order ready.
We provide the software. We do not make, deliver or guarantee anything you have promised your own customers, and we are not a party to the arrangement between you and them.
3. Your account
- You are responsible for what happens under your account and for keeping your login details to yourself.
- You are responsible for the people you invite into your account and what they do in it.
- Tell us promptly at support@runsheetco.com if you think someone has got in who should not have.
- You must give us accurate account information and keep it current.
4. Your data stays yours
The orders, customers and other records you put into Runsheet Co. belong to you. We do not claim ownership of them and we do not sell them.
We process them on your behalf in order to run the service for you — including the details of your customers, where you are the controller and we are the processor. How we handle all of this is set out in the privacy policy.
You can export your data at any time, including after you cancel. You can ask us to delete it by emailing support@runsheetco.com.
5. What you may not do
- Break the law with it, or use it to help someone else break the law.
- Upload anything unlawful, or anything you do not have the right to hold.
- Send unsolicited marketing to your customers through it. The customer emails it sends are transactional messages about an order they placed with you.
- Attempt to reach data belonging to another business, or probe, scan or interfere with the service or its security.
- Resell or rent access to the service without our written agreement.
- Place a load on the service designed to degrade it for others.
6. Subscriptions, trials and payment
New accounts get a free trial of 14 days. No payment card is required to start it, and no charge is made during it. At the end of the trial you choose a plan, or the account moves to a read-only state as described below.
Paddle.com Market Ltd is the merchant of record for all purchases. Paddle handles the checkout, takes the payment, calculates and remits any sales tax, VAT or GST that applies where you are, and issues your invoice. Your contract for the purchase is with Paddle; your contract for use of the software is with us. Paddle's own terms and privacy notice apply to the payment, and are available at paddle.com.
Subscriptions renew automatically for further periods at the then-current price for your subscription until cancelled. We will give you reasonable notice by email before any price change that affects you.
Refunds and cancellations are covered in the refund policy, which forms part of these terms.
7. If payment stops
If a subscription lapses or a payment fails, we will tell you and give you a reasonable period to put it right. After that the account becomes read-only: you can still open it and read everything in it, and you can still export your data. You cannot add or change records until the subscription is active again.
We do this deliberately rather than locking you out. Your delivery list for tomorrow is not something to hold hostage over an expired card.
8. Suspension and termination
You can cancel at any time from inside the app. Cancellation takes effect at the end of the period you have already paid for.
We may suspend or end your access if you materially breach these terms — in particular section 5 — or if we are required to by law. Except where the breach is serious or unlawful, we will give you notice and a chance to fix it first.
After termination we will keep your data available for export for a reasonable period, set out in the privacy policy, and then delete it.
9. Availability and changes
We work to keep the service running and available, but we do not promise it will be uninterrupted or error free. We may need to take it down for maintenance, and we will try to do that at times that suit the trades we serve rather than in the middle of a peak week.
We may change or discontinue features. If we make a change that materially reduces what you are paying for, we will tell you in advance and you may cancel and receive a pro rata refund of the unused part of your term.
10. Liability
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited — including rights you may have under consumer law in your own country, which these terms do not override.
Subject to that, the service is provided as is, and we are not liable for indirect or consequential loss, lost profits, lost business or lost goodwill. Our total liability in any twelve month period is limited to the amount you paid us for the service in that period.
You are responsible for keeping your own arrangements with your customers, and for checking that what the software tells you matches what your shop is actually doing.
11. Governing law
These terms are governed by the laws of Mauritius, and the courts of Mauritius have jurisdiction — except where the law of the country you live in gives you the right to bring proceedings locally, which these terms do not take away.
12. Changes to these terms
We may update these terms. If a change materially affects your rights we will email you before it takes effect. Continuing to use the service after that means you accept the updated terms; if you do not, you can cancel.
